ClearVault Privacy Policy

This Privacy Policy explains, in plain language, what personal information ClearVault, Inc. ("ClearVault," "we," "us," or "our") collects when you use our website, mobile experiences, and construction payments platform (together, the "Services"), how we use and share that information, and the choices and rights you have. This Privacy Policy is incorporated by reference into the ClearVault Terms of Use. If you do not agree with this Policy, please do not use the Services.

We built ClearVault to move money safely between owners, contractors, and subcontractors on construction projects. That means we necessarily handle sensitive information — identity, banking, and contract details. We take that seriously, and this Policy is meant to be readable, not buried in legalese.


1. The Short Version

  • We collect the information you give us (account, profile, identity, and banking details), information about how you use the Services, and information from our banking and verification partners.
  • We use it to run the platform: to verify who you are, to set up escrow and move payments, to support construction contracts and change orders, and to keep the platform secure and compliant.
  • We share it only with the people and partners who need it to deliver the Services — your project counterparties, our escrow bank and payment processors, our service providers, and as required by law.
  • We do not sell your personal information.
  • You can review and update most of your information from your profile, and you have privacy rights you can exercise by contacting us at ehansen@cvaultco.com.

2. Information We Collect

2.1 Information You Provide to Us

  • Account information. Your name, email address, password, role (owner, developer, contractor, subcontractor, or inspector), and company name.
  • Profile and business information. Contact details, mailing and business addresses, phone numbers, license numbers, insurance carrier and policy details, and entity information (entity type, formation state, and tax identification number such as an EIN).
  • Identity verification ("KYC") information. To open escrow accounts and comply with financial regulations, we collect identity details about you and, for business entities, about beneficial owners and control persons — including legal name, date of birth, government-issued identification, the last digits of a Social Security Number or a full tax identification number, country of citizenship, and ownership percentages. We also collect documents you upload, such as a government photo ID, formation documents, and IRS letters.
  • Banking and payment information. Bank name, account number, and routing number used to fund or receive construction payments through escrow.
  • Contracts, documents, and project content. Contract terms, plans, milestones, change orders, lien waivers, photographs, and other files and content you submit or upload ("User Submissions").
  • Signatures. Electronic signatures you draw, type, or otherwise apply when signing documents and certifications on the platform.
  • Communications. Messages you send through the platform, and the content of support requests, feedback, and other correspondence with us.

2.2 Information We Collect Automatically

  • Usage information. Pages and features you use, actions you take, and timestamps, which help us operate, secure, and improve the Services.
  • Device and connection information. IP address, browser type, device identifiers, and similar technical data.
  • Cookies and similar technologies. See Section 9 below.
  • Wireless and mobile information. If you use wireless or mobile features (such as text notifications), we may collect information related to that use, as described in the Terms of Use.

2.3 Information We Receive From Others

  • Banking and verification partners. Our escrow bank and identity-verification providers may return the results of account setup and identity checks (for example, whether verification succeeded or what additional information is needed).
  • Your project counterparties. Owners, contractors, and subcontractors on a shared project may provide information about you in the course of setting up and managing that project.

3. How We Use Your Information

We use your information to:

  • Create and manage your account and authenticate you.
  • Verify your identity and the identity of beneficial owners and control persons, as required to open escrow accounts and to meet our legal and regulatory obligations.
  • Set up escrow accounts and process, hold, release, and reconcile construction payments, draws, deposits, and milestone disbursements.
  • Provide the platform's core features — contract analysis, change management, milestone tracking, document generation and signing, and lien-waiver workflows.
  • Communicate with you about your account, transactions, security, and support requests.
  • Detect, investigate, and prevent fraud, abuse, security incidents, and other prohibited or unlawful activity.
  • Maintain audit trails and records required for financial and regulatory compliance.
  • Operate, maintain, analyze, and improve the Services.
  • Comply with applicable laws and enforce our agreements.

4. How We Share Your Information

We share personal information only as described here. We do not sell your personal information, and we do not share it for cross-context behavioral advertising.

  • With other users on your projects. ClearVault is a multi-party platform. Information you submit may be accessible to the owners, contractors, subcontractors, and inspectors involved in a shared project to the extent needed to coordinate the work and the payments. Choose carefully what you upload; we do not guarantee confidentiality of User Submissions as among project participants.
  • With our escrow bank and payment processors. We share the identity, entity, and banking information needed to open and operate escrow accounts and to move funds.
  • With identity-verification and compliance providers. We share information necessary to verify identities and to satisfy "know your customer," anti-money-laundering, and Bank Secrecy Act obligations.
  • With service providers. We use vendors that host our infrastructure, store files, send email and notifications, and provide similar support. They may process personal information only on our instructions and for the purposes of providing their services to us.
  • For legal, safety, and compliance reasons. We may disclose information to comply with laws, regulations, subpoenas, court orders, or lawful government requests; to enforce our agreements; to protect the rights, property, or safety of ClearVault, our users, or others; and to detect or prevent fraud or security issues.
  • In a business transfer. If ClearVault is involved in a merger, acquisition, financing, reorganization, or sale of assets, information may be transferred as part of that transaction, subject to this Policy.
  • With your direction or consent. We share information at your direction or with your consent.

5. Identity Verification, KYC, and Financial Compliance

Because ClearVault facilitates escrow-backed payments, we and our banking partners are subject to financial regulations that require us to verify the identity of account holders and, for business entities, their beneficial owners and control persons. To meet these obligations we collect and process the identity, entity, and ownership information described in Section 2, and we retain related records and certifications (including beneficial-ownership certifications and the signatures applied to them) for as long as required by law. Providing this information is necessary to open an escrow account and to send or receive payments through the platform. If you do not provide it, we may be unable to offer you the payment features of the Services.

6. How We Protect Your Information

We use administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, and disclosure. Sensitive items — such as signatures and uploaded identity documents — are stored in access-controlled storage, and especially sensitive fields (like full bank account numbers) are not displayed back to you in full once saved. No method of transmission or storage is perfectly secure, however, and we cannot guarantee absolute security. You are responsible for keeping your account credentials confidential and for notifying us promptly at ehansen@cvaultco.com if you believe your account has been compromised.

7. How Long We Keep Your Information

We keep personal information for as long as your account is active and as long as needed to provide the Services. We keep certain information longer when we are required to — for example, to satisfy financial, tax, audit, and anti-money-laundering recordkeeping obligations, to resolve disputes, and to enforce our agreements. Backup and archive copies may persist for a period after deletion from the active Services, and other project participants may retain copies of content you shared with them. When information is no longer needed, we delete it or de-identify it.

8. Your Choices and Rights

  • Access and update. You can review and update much of your profile information directly from your Profile page in the Services. To request access to, or correction of, other information, contact us at ehansen@cvaultco.com.
  • Communications. You can manage notification settings in your account, and you can opt out of marketing emails using the unsubscribe link or by contacting us. We may still send you non-promotional messages about your account, transactions, and security. To stop SMS messages, reply STOP as described in the Terms of Use.
  • Deletion. You can ask us to delete personal information, and we will do so except where we are required or permitted to keep it (for example, records we must retain for financial-compliance, legal, or audit reasons).
  • Depending on where you live, you may have additional rights — such as the right to know what personal information we collect and how we use and share it, the right to correct or delete it, the right to non-discrimination for exercising your rights, and the right to appeal a decision. To exercise any of these rights, contact us at ehansen@cvaultco.com. We will verify your request before acting on it and will respond within the time required by applicable law.

8.1 California Privacy Rights

If you are a California resident, you may have rights under the California Consumer Privacy Act, as amended ("CCPA/CPRA"), including the rights described above. We do not sell your personal information or share it for cross-context behavioral advertising, and we do not knowingly collect the personal information of minors under 16 for sale. 9. Cookies and Similar Technologies

We use cookies and similar technologies to keep you signed in, remember your preferences, secure the Services, and understand how the platform is used. You can control cookies through your browser settings; if you block certain cookies, some features of the Services may not work properly. We honor applicable browser privacy signals where required by law.

10. Children's Privacy

The Services are intended for users who are at least 18 years old (or who access the Services through a consenting parent or guardian as described in the Terms of Use). We do not knowingly collect personal information from children under 13. If you believe a child has provided us personal information, contact us at ehansen@cvaultco.com and we will take appropriate steps to delete it.

The Services may link to or integrate with websites and services we do not control. This Policy does not apply to those third parties, and we are not responsible for their privacy practices. We encourage you to review the privacy policies of any third-party site or service you use.

12. Where Your Information Is Processed

ClearVault is based in the United States, and we process and store information in the United States. If you access the Services from outside the United States, you understand that your information will be transferred to, and processed in, the United States, where data-protection laws may differ from those in your location.

13. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. When we make changes, we will revise the "Effective Date" and "Version" at the top of this page, and, where appropriate, we may notify you within the Services or by other means. Material changes to how we handle your information will be communicated as required by law. Your continued use of the Services after an update takes effect means you accept the revised Policy.
